Anhui Expressway Company Limited (995) held a board meeting on 28 October 2025 to review proposed changes aimed at aligning corporate governance with updated regulatory requirements and the Company’s actual circumstances. The Board approved amendments to the Articles of Association, proposing to abolish the Supervisory Committee and the supervisor role, with these responsibilities set to be assumed by the Audit Committee. Amendments to the Rules of Procedures of General Meetings, the Rules of Procedures of the Board, and the Working Procedures for the Independent Directors have also been proposed to reflect the new structure and the latest regulatory guidelines.

According to the Company, the proposed amendments will be subject to approval by shareholders at an extraordinary general meeting. A circular containing details of the proposals is expected to be dispatched in due course, after which shareholders will vote on the special and ordinary resolutions related to the amendments to the Articles of Association, various Rules of Procedures, and the Working Procedures for the Independent Directors.
