GOME Retail Sets 17 June 2026 AGM to Vote on Financial Statements, Director Re-elections and Share Issue Mandate

GOME Retail Holdings Limited will hold its 2026 annual general meeting (AGM) on 17 June 2026 at 2:00 p.m. in Hong Kong. Key agenda items include:

• Financial Reporting: Shareholders will consider adoption of the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.

• Board Composition: Independent non-executive directors Mr. Lui Wai Ming and Mr. Liu Yin Hong are standing for re-election.

• Remuneration and Auditor: The board seeks authority to set directors’ remuneration and proposes appointing CCTH CPA Limited as external auditor, with remuneration to be fixed by the board.

• Share Capital Authorities: – Issue Mandate: Directors request a general mandate to allot, issue or deal with shares and/or resell treasury shares up to 20% of the company’s issued share capital, excluding treasury shares, as of the resolution date. – Buy-back Mandate: Authority to repurchase up to 10% of issued shares, excluding treasury shares, on the Stock Exchange or other recognised bourses. – Mandate Extension: If both mandates pass, the share issue limit will be extended by the number of shares bought back, capped at an additional 10% of issued share capital.

• Corporate Governance: A special resolution proposes adoption of amended and restated bye-laws.

Register Closure: The shareholders’ register will be closed from 12 June 2026 to 17 June 2026 (both dates inclusive). Only shareholders on record by 4:30 p.m. on 11 June 2026 will be eligible to attend and vote at the AGM.
