Productive Technologies Company Limited (PRODUCTIVE TECH, 00650) has issued a circular convening its 2026 annual general meeting for 24 September 2026 at 3:00 p.m. in Tower Two, Times Square, Causeway Bay, Hong Kong.

Key resolutions include:

• Board composition – Executive director Tan Jue, non-executive director Cao Xiaohui and independent non-executive director Ge Aiji will retire by rotation and offer themselves for re-election. The nomination committee confirms Ge Aiji’s independence under Listing Rule 3.13.

• Auditor – Rongcheng (Hong Kong) CPA Limited is proposed for re-appointment until the next AGM at an estimated FY27 audit fee of HK$1.10 million–HK$1.50 million, excluding out-of-pocket expenses and interim review work.

• Share mandates – – Issue Mandate: authority to allot and issue up to 1.48 billion new shares, representing 20% of the 7.42 billion shares in issue (excluding treasury shares) as at 24 July 2026. – Repurchase Mandate: authority to buy back up to 741.61 million shares, equivalent to 10% of issued share capital. – Extension Mandate: number of shares repurchased under the 10% mandate may be added to the 20% issue limit.

The circular notes that the concert party comprising Titan Gas Technology Investment, IDG Technology Venture Investment III, L.P. and IDG Magic V Fund holds 2.92 billion shares (39.32% of issued capital). A full exercise of the repurchase mandate could lift this group’s stake to 43.68%, potentially triggering a mandatory offer under the Takeovers Code, although the board states it has no current intention to repurchase shares to that level.

Shareholders’ register will close from 21 to 24 September 2026, with 18 September 2026 set as the last day to lodge transfers for AGM eligibility. All AGM resolutions will be decided by poll, and proxy forms must be lodged by 3:00 p.m. on 22 September 2026.
