Bonjour Holdings Limited (incorporated in the Cayman Islands) expanded its issued share capital on 23 March 2026 through the allotment and issue of 86.00 million new ordinary shares at HKD 0.07 each, pursuant to the subscription agreement announced on 17 March 2026.

The placement increased the company’s total issued shares (excluding treasury shares) from 1,788.88 million to 1,874.88 million, representing a 4.81% enlargement of its share base. Based on the disclosed issue price, the transaction generated gross proceeds of approximately HKD 6.02 million.

The board confirms that the share issue was duly authorised and executed in compliance with all applicable Hong Kong Stock Exchange listing rules and relevant legal requirements. No treasury share movements, share repurchases, or on-market treasury share sales were reported.
