Tycoon Group Ups Purchase Caps with JBM, Adds Exclusive Foci Pharma Deal Ahead of 11 Sep EGM

Tycoon Group Holdings Limited has called an extraordinary general meeting (EGM) for 11 September 2026 to seek independent shareholders’ approval on two major connected-transaction items: higher procurement limits under three existing distribution agreements with JBM (Healthcare) Group and a new exclusive distribution accord for Foci-branded proprietary Chinese medicines in Singapore.

Revised Annual Caps with JBM • Ho Chai Kung Distribution Agreement – Proposed caps lifted to HK$200.00 million for FY 2026, HK$230.00 million for FY 2027 and HK$66.00 million for the quarter ending 31 March 2028. • Li Chung Shing Tong (HK) Distribution Agreement – Caps raised to HK$121.00 million, HK$139.00 million and HK$40.00 million for the same periods. • Li Chung Shing Tong (Singapore) Distribution Agreement – Caps increased to HK$21.00 million, HK$22.00 million and HK$6.00 million respectively.

The company’s first-half 2026 purchases already annualise above the previous limits, with utilisation hitting 117.3 % (Ho Chai Kung), 101.2 % (Li Chung Shing Tong HK) and 170.7 % (Li Chung Shing Tong Singapore). Management attributes the higher demand to strong sales momentum and expanded marketing campaigns.

New Foci Distribution Agreement Fu Qing Chinese Medical Trading Pte. (a Tycoon subsidiary) will be the exclusive Singapore distributor for more than 15 Lanzhou Foci proprietary Chinese medicine (PCM) SKUs supplied by HKPCCH, an indirect JBM unit. Key terms include: • Contract term: 12 Jun 2026 – 11 Jun 2029. • Annual purchase targets: HK$2.00 million, HK$3.00 million and HK$3.00 million for each successive 12-month period; Fu Qing must meet at least 70 % of each target. • Proposed annual caps: HK$1.00 million (2H 2026), HK$2.50 million (FY 2027), HK$3.00 million (FY 2028) and HK$1.50 million (1H 2029). • Pricing set on a cost-plus basis, guaranteeing Tycoon Group a minimum gross margin of 20 %.

Regulatory Position Because JBM is an associate of substantial shareholder Mr Sum Kwong Yip Derek, the transactions constitute continuing connected transactions under Chapter 14A of the Hong Kong Listing Rules. Aggregate caps across all JBM deals will reach HK$380.80 million for FY 2026, HK$438.90 million for FY 2027 and HK$124.00 million for the three months to 31 Mar 2028, exceeding the 5 % transaction ratio threshold.

Independent shareholders will vote by poll at the 11 September EGM. Jacobson Group Treasury Limited and its associates, holding 152.34 million shares (17.04 % of issued capital), must abstain. The Independent Board Committee recommends approval following advice from Halcyon Capital Limited, the independent financial adviser.
