New China Life Insurance Company Ltd. (NCI) has issued a revised proxy form for its 2025 Annual General Meeting, scheduled for 2:30 p.m. on 26 June 2026 at 21/F, NCI Tower, A12 Jianguomenwai Avenue, Chaoyang District, Beijing.
The revised document replaces the proxy form dated 27 May 2026. Shareholders intending to appoint a proxy must submit the updated form—together with any notarised authorisation documents—no later than 2:30 p.m. on 25 June 2026 to Computershare Hong Kong Investor Services Limited, 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong. Forms submitted after this deadline, or incorrectly completed, will default to the previously lodged original proxy form where applicable.
Eight ordinary resolutions will be decided by poll: 1. 2025 Board Report 2. Directors’ Performance Report for 2025 3. Independent Non-executive Directors’ Performance Report for 2025 4. 2025 Annual Report (A-shares/H-shares) 5. 2025 Profit Distribution Plan 6. Re-appointment of accounting firms for 2026 7. Administrative Measures on the Remuneration of Directors and Senior Management 8. Election of Huang Geng as Non-executive Director for the Ninth Board Session
Votes marked “abstain” will be counted in calculating the majority threshold. Shareholders or their proxies must present valid identity documents to attend the meeting in person. Completion and delivery of the revised proxy form will not preclude shareholders from attending and voting at the AGM directly; in such cases, the proxy appointment will be deemed revoked.
The company emphasises that any alteration to the proxy form must be initialed by the signer, and joint holders should have the form signed by the first-named shareholder on the register.
