China Oil & Gas Posts Stable September Share Capital; No Change in Issued Shares

China Oil & Gas Group Limited filed its Monthly Return for Equity Issuer for September 2026, confirming a stable capital structure and continued compliance with Hong Kong Stock Exchange public-float requirements.

Authorised and Issued Share Capital • Authorised share capital remained at 125.00 billion ordinary shares with a par value of HKD 0.01, representing HKD 1.25 billion in authorised capital. • Issued share count was unchanged at 5.64 billion ordinary shares, and the company held no treasury shares at month-end. Equity Incentive Capacity • No share options, awards, warrants or other convertibles were exercised, issued or cancelled during the month. • Under the New Share Option Scheme and New Share Award Scheme (approved 15 June 2023), the company can still issue or transfer up to 563.68 million new shares, providing headroom for future equity-based incentives.

Liquidity and Capital Management • With no share repurchases, cancellations or new issuances recorded in September, China Oil & Gas preserved its share count stability and avoided shareholder dilution during the period.

Governance • The filing was authorised and submitted by Chairman Mr Xu Tie-liang on 6 October 2026, underscoring management’s adherence to ongoing disclosure obligations.
