VISION VALUES (00862) announced that on September 29, 2025, its subsidiary Xinjiang Yuanjian Hongye Logistics Co., Ltd. (the "Buyer") entered into a purchase agreement with Tianjin Shengda Heavy Truck Sales Co., Ltd. (the "Seller"). Under the agreement, the Buyer has agreed to purchase and the Seller has agreed to sell electric heavy trucks for a total consideration of RMB 22.4 million.

The company stated that given (i) the Seller was selected through a competitive bidding process, with three bidders submitting proposals for the Buyer's consideration; (ii) the total consideration payable under the purchase agreement was determined through the bidding process and fair negotiations between the Buyer and Seller; (iii) the advantages outlined above; and (iv) fleet expansion being part of the Group's strategic plan, the Board of Directors believes that the purchase of electric heavy trucks is conducted in the ordinary and usual course of the Group's business. The terms of the purchase agreement were concluded on normal commercial terms and are fair and reasonable. The entering into of the purchase agreement and the transactions contemplated thereunder are in the overall interests of the Company and its shareholders.
