CHINA SUNTIEN (00956) announced that all conditions precedent under the share subscription agreement have been fulfilled. In accordance with the terms of the agreement, the completion took place on November 7, 2025.

Following the completion, the company has allotted and issued 307 million H shares to Yanshan International Investment Limited (a designated entity of Hebei Construction & Investment Group) at a subscription price of HKD 4.93 per share.

The subscribed shares represent approximately 7.30% of the company's total issued share capital prior to the completion of the subscription and about 6.80% of the enlarged share capital post-completion.
