CHENGDU EXPWAY (HKEX: 01785) has issued an announcement regarding a proposed conversion of domestic shares to H-shares.

The company's board of directors, following the relevant guidelines, approved a plan on June 12, 2026, to convert 331 million domestic unlisted shares held by its shareholder Chengdu Communications Investment & Construction Management Group Co., Ltd. These shares represent approximately 20% of the company's total issued share capital as of the announcement date. The plan involves converting these shares into overseas-listed H-shares for trading and circulation on The Stock Exchange of Hong Kong Limited.

This conversion and subsequent listing on the Main Board of the Exchange are contingent upon obtaining all necessary approvals or completing required filings, including those from the China Securities Regulatory Commission and the Hong Kong exchange. The company must also comply with all applicable laws, regulations, and rules.

According to the company's articles of association, this proposed H-share full circulation, conversion, and listing do not require approval from a general meeting of shareholders.

As of the date of the announcement, the company has not yet submitted any formal application for the H-share full circulation, conversion, or listing to the CSRC or the Hong Kong exchange. Furthermore, the specific implementation details for the plan have not been finalized.

The company stated it will release further announcements regarding the progress of the H-share full circulation, conversion, and listing in accordance with applicable laws and regulations, including the listing rules.
