Huaqin AGM Greenlights RMB12-per-10-Share Dividend, 4-for-10 Bonus Issue and General Mandate

Huaqin Co., Ltd. (Huaqin) announced that all 10 resolutions tabled at its Annual General Meeting on 20 May 2026 were passed by poll, with approval ratios ranging from 95.79% to 99.93%. Key outcomes are set out below.

Dividend and Bonus Share Issue • 2025 cash dividend: RMB12 (tax inclusive) per 10 shares, equivalent to HK$13.735 per 10 H shares using the PBoC average rate of RMB0.87368 per HK$1.00. The record date for H-shareholders is 2 June 2026. Treasury shares (215,947 A shares) are excluded from entitlement. • Capitalization issue: 4 new shares for every 10 existing shares via capital reserve conversion. Based on 1.07 billion outstanding shares (excluding treasury shares) as at 29 April 2026, total share capital will rise to approximately 1.50 billion shares, subject to China Securities Depository & Clearing (CSDC) confirmation and rounding.

Operational Authorisations • 2026 external guarantee cap approved, receiving 95.79% support. • 2026 caps for routine related-party transactions and forex hedging were endorsed, each with more than 99.90% approval. • A general mandate to issue additional H shares passed with 96.60% votes in favour.

Board and Governance Matters • 2025 work report, annual report and director remuneration for 2025/2026 were all ratified (support rates above 99.81%). • BDO China Shu Lun Pan Certified Public Accountants LLP and BDO Limited were re-appointed as domestic and overseas auditors for 2026, backed by 96.97% of the votes.

Regulatory Compliance Zhong Lun Law Firm confirmed that meeting procedures, voter eligibility and poll results complied with PRC laws, the Rules on Shareholders’ Meetings of Listed Companies and Huaqin’s Articles of Association.

Payment and Taxation Dividend payments to A-shareholders will be made in RMB; H-shareholders will receive HKD. The company will generally withhold 10% PRC individual income tax for non-resident individual H-shareholders and 10% corporate income tax for non-resident enterprise holders, unless treaty benefits apply. No PRC tax is levied on the capitalization issue.

Next Steps Cash dividend payments and allotment of capitalization shares will proceed after statutory procedures, with trading in the new H shares subject to Hong Kong stamp duty.
