COUNTRY GARDEN (02007) announced that, as disclosed in the circular, under the working fee arrangement with the coordination committee, up to approximately $8.205 million may be paid in cash to the coordination committee. These funds will be raised through the sale of no more than 160 million new shares issued by the company to recognized brokers, banks, or securities firms under the general mandate.

To facilitate the working fee arrangement, on December 21, 2025, the board resolved to approve the issuance of 135.6 million shares (working fee shares under the general mandate) to GLAS Agency (Hong Kong) Limited (GLAS HK) at an issue price of HK$0.40 per share under the general mandate.

GLAS HK will, on behalf of the company, sell (or arrange the sale) of these working fee shares as soon as reasonably practicable to settle the portion of working fees payable in cash to the coordination committee.
