Greentown China Holdings Limited disclosed plans for an international issuance of USD-denominated senior notes under Regulation S. The proposed transaction’s size, coupon, and pricing will be fixed through a book-building process led by Deutsche Bank, HSBC, Guotai Junan International, J.P. Morgan, Soochow Securities (Hong Kong) and UBS, acting as lead global coordinators, joint lead managers and joint bookrunners.
The company intends to apply the net proceeds to refinance existing indebtedness. Greentown China also plans to seek a listing of the notes on The Stock Exchange of Hong Kong; the exchange has already confirmed listing eligibility. No public offering will be made in Hong Kong, and the notes will be sold exclusively outside the United States.
Execution of the offering remains subject to market conditions, investor demand and the signing of a purchase agreement among the issuer, its subsidiary guarantors and the arranging banks. Consequently, the deal may or may not proceed, and investors are advised to exercise caution when dealing in Greentown China securities.
The board is chaired by Liu Chengyun, and the announcement was released from Hangzhou on 12 May 2026.
