Baoye Group Withdraws Proposed HKD 5.50 Special Dividend After AGM Resolution Fails

Baoye Group Company Limited announced the withdrawal of its previously proposed special dividend of HKD 5.50 per share after shareholders failed to pass Supplemental Ordinary Resolution No. 11 at the 2025 annual general meeting (AGM) held on 18 June 2026.

The resolution secured less than 50 percent of the votes cast by shareholders and proxies present, leading to the formal cancellation of the dividend. The payout—classified as a special cash dividend for an unspecified financial period—will therefore not proceed. All key timetable details, including ex-dividend date, record date, and payment date, which were initially marked “to be announced,” are no longer applicable.

Baoye Group had disclosed the dividend in Hong Kong dollars, inclusive of tax, with Tricor Investor Services Limited designated as share registrar. The company has directed stakeholders to its 18 June 2026 poll-results announcement for full voting details.

As of the announcement date, the board comprises Chairman and non-executive director Pang Baogen, six executive directors (Gao Lin, Gao Jun, Jin Jixiang, Xu Gang, Wang Rongbiao, Xia Feng), and four independent non-executive directors (Li Wangrong, Liang Jing, Xiao Jianmu, Fung Ching Simon).
