OCT (Asia) AGM: Shareholders Unanimously Back All Eight Resolutions, Granting Fresh Issuance and Buy-Back Mandates

Overseas Chinese Town (Asia) Holdings Limited (OCT (Asia)) reported that every proposal at its 10 June 2026 annual general meeting in Shenzhen received 100% approval on a poll, with 530.90 million votes cast in favour and none against.

All eight ordinary resolutions were endorsed, including:

• Financial Statements: Shareholders adopted the audited consolidated accounts and directors’ and auditors’ reports for the year ended 31 December 2025.

• Auditor Appointment: BDO Limited was appointed as external auditor, with the board authorised to determine remuneration.

• Board Composition: Executive directors Ms Liu Yu and Ms Qi Jianrong, and independent non-executive director Ms Wong Wai Ling were each re-elected, with the board empowered to set their remuneration.

• Capital Authorities: Investors granted the board a new general mandate to issue additional shares up to 20% of issued share capital and approved a separate mandate to repurchase up to 10% of shares. The meeting also authorised an extension allowing any shares bought back to be added to the issuance limit.

Voting Base and Scrutiny: The poll covered 530.90 million votes, representing holders of approximately 70.93% of the company’s 748.37 million issued shares eligible to vote. Computershare Hong Kong Investor Services Limited served as the independent scrutineer. All directors, except Mr Wang Jianwen (absent due to work engagements), attended either in person or via electronic means.

The unanimous support provides OCT (Asia) with flexibility for future capital management and confirms shareholder confidence in the existing board and governance framework.
