LIAONING PORT Updates on Public-Float Shortfall; Only 3.67% of H Shares in Public Hands

Bulletin Express
06/02

Liaoning Port Co., Ltd. (LIAONING PORT) has confirmed that its H-share public float remains below the level required by the Hong Kong Listing Rules.

As of 2 June 2026, H-shares held by the public had a market value of approximately HK$775.00 million, representing 3.67% of the company’s issued H-share capital. This percentage is still below the minimum public-float threshold stipulated under Rule 19A.28B(2) of the Listing Rules.

The company reiterated that it is “actively seeking feasible solutions” to restore compliance. Measures under review include: • Ongoing discussions with substantial H-share shareholders—Team Able International, Broadford Global and Dalian Port Corporation—on possible transactions aligned with prevailing market conditions. • Consultations with securities firms and legal counsel regarding share issuances, share buy-backs and cancellations, taking into account relevant domestic and international regulations.

The Hong Kong Stock Exchange has granted LIAONING PORT temporary transitional arrangements, allowing the company time to rectify the shortfall while it continues its evaluation of remedial options.

Until full compliance is achieved, LIAONING PORT will release monthly updates under Rule 19A.28E and adhere to the related disclosure requirements set by the Exchange.

Shareholders and potential investors are advised to exercise caution when dealing in the company’s shares.
