Nature's Miracle Holding, a U.S. agricultural technology company, has announced the signing of a Letter of Intent to acquire a 55% equity stake in three portfolio companies owned by CM Fabrication, LLC. These companies include CM Fabrication, CEA Studios, and CM E-Commerce LLC. The transaction, valued at approximately $11 million, will be financed by a third-party lending institution. The proceeds are planned to be used to repay around $10 million of existing debt held by the target companies.
CM Fabrication operates a 500,000-square-foot advanced manufacturing facility in Sycamore, Illinois, specializing in precision metal fabrication, robotic welding, and advanced electronics manufacturing services. Together, the three entities form a vertically integrated manufacturing platform focused on producing U.S.-made critical equipment for industries including drones, AI data centers, and horticulture. The target companies reported revenues of approximately $8.6 million for 2025, with projected revenues expected to rise to about $18.2 million in 2026.
Tie Li, Chairman and CEO of Nature's Miracle, stated that the company had previously established strategic partnerships to develop AI-driven autonomous robotics solutions. The acquisition of CM Fabrication will provide Nature's Miracle with domestic U.S. drone manufacturing capabilities, which are considered crucial for global supply chains. Following the completion of the transaction, Nature's Miracle plans to pursue an uplisting to a major exchange through a merger with a Nasdaq or NYSE-listed shell company.
