Joy Spreader AGM: 100% Shareholder Support Secures Board Re-elections, New Mandates and Updated By-laws

Joy Spreader Group Inc. held its 2026 annual general meeting on 26 June, where all 11 resolutions on the agenda were approved with complete unanimity. Precisely 823.40 million votes (100.00 %) were cast in favour of every motion, with zero votes against.

Key outcomes include:

• Statutory approvals – Shareholders adopted the audited consolidated financial statements and directors’ and auditor’s reports for the financial year ended 31 December 2025.

• Board composition – Executive director Ms Qin Jiaxin, non-executive director Mr Wang Hongpeng, and independent non-executive directors Mr Li Chenji and Mr Huang Boyang were all re-elected.

• Remuneration and auditor – The board was authorised to set directors’ remuneration, and HLB Hodgson Impey Cheng Limited was re-appointed as external auditor with remuneration to be determined by the board.

• Capital management – Directors received a 20 % general mandate to issue new shares (excluding treasury shares) and a 10 % mandate to buy back shares, with an additional mandate allowing the re-issuance of repurchased shares.

• Corporate governance – A special resolution approved the adoption of a fourth amended and restated Memorandum and Articles of Association, effective immediately after the meeting. The revised document is available on the HKEXnews website and the company’s portal.

Participation metrics show the company had 2.37 billion issued shares eligible to vote, and no shareholders were required to abstain. Computershare Hong Kong Investor Services Limited acted as scrutineer, and all directors attended the meeting in person or electronically.

These approvals provide the board with refreshed authority over capital actions and solidify the governance framework as Joy Spreader advances into the new financial year.
