XUNCE to List RMB1.36 Billion U.S.-Dollar-Settled Zero-Coupon Convertible Bonds on HKEX

Shenzhen Xunce Technology Co., Ltd. (XUNCE) has filed an application with The Stock Exchange of Hong Kong Limited (HKEX) for the listing of RMB1.36 billion U.S.-dollar-settled zero-coupon convertible bonds due 2027. The listing is targeted to become effective on or about 13 July 2026, following the issuance of the offering circular dated 2 July 2026.

Morgan Stanley, Goldman Sachs and Deutsche Bank are acting as Joint Global Coordinators, Joint Bookrunners and Joint Lead Managers, while Guotai Junan International joins as a Joint Lead Manager.

XUNCE’s board of directors currently comprises: • Executive Directors: Liu Zhijian, Geng Dawei, Yang Yang, Xuan Ran • Non-Executive Directors: He Jinglu, Cai Xiang • Independent Non-Executive Directors: Wong Ti, Jiang Changjian, Tian Jiangchuan

The bonds will be offered exclusively to professional investors under Chapter 37 of the HKEX Listing Rules and will be sold outside the United States in compliance with Regulation S under the U.S. Securities Act of 1933.
