Overseas Chinese Town (Asia) Holdings Limited (OCT (Asia)) announced that subsidiary Hefei Huanchao entered into a Chaohu Land Resumption Agreement on 7 August 2026 with Chaohu Land Reserve Center, witnessed by the Anhui Chaohu Economic Development Zone Management Committee.

The agreement fixes the Chaohu Land Compensation Price at RMB596.00 million. Key obligations include:

• Transfer of real estate ownership certificates to Chaohu Land Reserve Center within seven working days of signing.

• Completion of ownership change, transfer or cancellation registrations with the Chaohu Natural Resources and Planning Bureau.

• Delivery of the land parcels as bare land to the Anhui Chaohu Economic Development Zone Development Bureau and Bantang Street Office within 30 days of signing.

Payment of the RMB596.00 million compensation will be made within 60 days after Hefei Huanchao fulfills the above obligations and obtains written consent from the Management Committee.

OCT (Asia) notes that the proposed disposal may or may not proceed and advises shareholders and potential investors to exercise caution when dealing in its securities. Further announcements will be issued as required by the Hong Kong Listing Rules.
