GRCB Plans Deloitte Reappointment, Sets 2026 Audit Fee at RMB7.50 Million

Guangzhou Rural Commercial Bank Co., Ltd. (GRCB) has issued a supplemental announcement to its 2026 AGM circular in response to updated Hong Kong Stock Exchange disclosure guidelines.

GRCB disclosed that Deloitte Touche Tohmatsu Certified Public Accountants LLP and Deloitte Touche Tohmatsu will retire at the forthcoming AGM but are being put forward for reappointment as the Bank’s auditors. If approved, the new term will run from the close of the 2026 AGM to the conclusion of the 2027 AGM.

The Board, following the Audit Committee’s recommendation and in accordance with Listing Rule 13.88, will seek shareholder authorization to fix the auditors’ remuneration. The estimated audit fee for the financial year ending 31 December 2026 is approximately RMB7.50 million, excluding out-of-pocket expenses. The figure reflects historical fees, prevailing market rates, the scope and complexity of GRCB’s operations, and anticipated audit workload, assuming no material changes in the Bank’s business or regulatory environment.

GRCB noted that Deloitte’s existing familiarity with the Group’s financial position is expected to enhance audit efficiency and serve the best interests of shareholders. Should the underlying assumptions change materially, the Bank will provide further disclosure; otherwise, the final fee is not expected to deviate significantly from the estimate.

All other information in the original AGM circular remains unchanged.
