TIANGE: Independent Adviser Reaffirms “Accept” Recommendation on Sina’s 32.50 Million-Share Cash Partial Offer

TIANGE (Tian Ge Interactive Holdings Limited) announced that the independent financial adviser has reconfirmed its previous view that the conditional voluntary cash partial offer by Sina Hong Kong Limited to acquire 32.50 million shares—excluding those already held by Sina and its concert parties—remains “fair and reasonable” to independent shareholders.

The adviser’s reassessment considered TIANGE’s 2025 annual results, released on 30 March 2026, and concluded that the new financial information does not alter its original opinion. As a result, the recommendation for independent shareholders to accept the offer stands unchanged.

Key timeline: • 11 Feb 2026: Sina issued its Offer Document outlining the cash partial offer. • 25 Feb 2026: TIANGE published its Response Document containing the adviser’s initial recommendation to accept. • 30 Mar 2026: TIANGE released its 2025 annual results; the adviser confirmed no change in its recommendation the same day.

Independent shareholders are urged to review the Offer Document, the Response Document and the 2025 Annual Results Announcement in full before making their decision on the partial offer.

The announcement was authorised by TIANGE’s board, chaired by Fu Zhengjun, and issued on 30 March 2026 in Hong Kong.
