Zhuguang Holdings Group Company Limited has announced a significant reshuffle of its board and senior management team, effective September 1, 2026, according to a filing released today. The changes involve the departure of key executives and the appointment of new directors to fill the resulting vacancies.

Liu Jie has resigned from his positions as Executive Director and Chief Executive Officer, citing personal reasons. The company stated that it will begin the search process to identify a suitable candidate to fill the CEO vacancy in due course. In a separate move, Dr. Feng Ke has also stepped down from his roles as Independent Non-Executive Director and as a member of the Audit Committee. Both departing individuals have confirmed that there are no disagreements with the board and that no other matters require the attention of shareholders.

In the same announcement, Zhuguang Holdings confirmed the appointment of Zhu Minhui as an Executive Director. At 31 years old, Zhu joined the group in 2017 and currently serves as Assistant to the Chairman of the Board. He holds 860,000 shares in the company and will receive an annual director's fee of HK$940,000. His appointment is without a fixed term and will be subject to retirement by rotation at general meetings.

Additionally, Huang Xiaoling has been appointed as an Independent Non-Executive Director and a member of the Audit Committee, with a two-year tenure. Huang brings 29 years of financial experience to the role and currently serves as Finance Director at Hainan Deloitte Yongxin Financial Consulting. She will receive an annual fee of RMB 96,000 and has confirmed that she meets the independence requirements under the Listing Rules.

Following these changes, the board of Zhuguang Holdings will now comprise six Executive Directors and three Independent Non-Executive Directors. The board has expressed its gratitude to Liu Jie and Feng Ke for their contributions to the group and has extended a warm welcome to Zhu Minhui and Huang Xiaoling as they take on their new responsibilities.
