PATEO's Bold Chip Acquisition at 7x Premium Faces Scrutiny Amid Weak Margins and Rising Debt

In the wave of automotive intelligence, the vehicle-mounted chip sector has emerged as a key focus for automakers and supply chain firms seeking cross-industry expansion. On August 7, 2026, PATEO unveiled a major acquisition plan, proposing to purchase a 70% stake in Chengdu Mingyi Electronic Technology Co., Ltd. (Mingyi Technology) for no more than RMB 1.4 billion, marking its formal entry into the high-speed optoelectronic chip arena to complete its "software-hardware-chip-cloud" strategy.

The most contentious aspect of this deal is the exceptionally high valuation premium. Based on the latest net assets of Mingyi Technology, the acquisition premium stands at a staggering 726.45%, corresponding to an overall valuation of RMB 2 billion for the target. Notably, this is not a one-off equity purchase. The transaction includes a conditional follow-on arrangement: if Mingyi Technology meets its performance commitments, PATEO must acquire the remaining 30% stake within 30 days at a valuation between RMB 2 billion and RMB 2.5 billion, pushing the total transaction cost to potentially exceed RMB 2.15 billion.

PATEO itself faces multiple challenges: gross margins are trending downward and lag far behind peers, the company is mired in sustained losses, its core business lacks cash-generation capability, and it has a significant short-term debt repayment gap. This RMB 1.4 billion cash acquisition will further strain its financial position, and combined with potential future equity purchase expenses, the company's cash flow will remain under pressure with a markedly expanded risk profile.

Where the challenges lie

The uniqueness of this transaction lies in the fact that both parties are in a state of continuous losses with unstable operational fundamentals. The large-scale cross-industry acquisition amplifies operational uncertainty, deviating significantly from the synergy logic of mature industrial mergers. PATEO is a leading supplier of intelligent cockpit solutions in China, providing domain controllers, cockpit components, and connected services to OEMs and Tier-1 suppliers. In 2025, the company generated revenue of RMB 3.51 billion, up 37.26% year-on-year; in Q1 2026, revenue grew over 100% year-on-year, driven by the strategic success of high-end intelligent cockpit solutions, overseas market breakthroughs, and new increments from AI software and cloud services.

However, the flip side of high growth is widening losses. From 2021 to 2025, PATEO's net losses attributable to shareholders were RMB 372 million, RMB 452 million, RMB 284 million, RMB 541 million, and RMB 1.093 billion respectively, cumulatively exceeding RMB 2.7 billion. The 2025 loss more than doubled year-on-year, primarily due to non-recurring expenses such as IPO listing fees and equity incentives; the adjusted net loss was RMB 240 million, narrowing by 31.82% year-on-year. PATEO attributes its persistent losses mainly to substantial R&D expenditures, but its excessively low gross margin may be the core factor. From 2021 to 2025, the company's gross margins were 21.29%, 14.05%, 15.45%, 11.77%, and 12.37%, showing a clear downward trend with a cumulative decline of nearly 9 percentage points. In comparison, while Desay SV's gross margin has also been declining, it still reached 19.07% in 2025, 6.7 percentage points higher than PATEO; Huayang Group's gross margin fell below 20% for the first time in 2025 but remained 6 percentage points higher; Jingwei Heli and Neusoft consistently maintained gross margins above 20%, nearly double that of PATEO. Among the five intelligent cockpit companies, PATEO's gross margin has always been at the bottom.

Furthermore, PATEO's R&D investment intensity has weakened significantly in recent years, failing to create a gap with peers. From 2021 to 2024, its R&D expense ratio plummeted from 32.26% to 8.11%, only recovering slightly to 10.81% in 2025. During the same period, the average R&D expense ratios of comparable companies were 10.48%, 11.29%, 12.01%, 10.52%, and 9.29%, remaining stable around 10% with much smaller fluctuations than PATEO. In 2025, Jingwei Heli, with higher R&D intensity than PATEO, achieved a net profit turnaround, growing 119.66% year-on-year.

The persistent losses have further tightened the company's cash flow. From 2021 to 2025, net cash flows from operating activities were -RMB 684 million, -RMB 464 million, -RMB 271 million, -RMB 706 million, and -RMB 525 million respectively, cumulatively "bleeding" RMB 2.65 billion. In September 2025, the company listed on the Main Board of the Stock Exchange of Hong Kong, raising net proceeds of HKD 894 million. As of the end of 2025, cash and cash equivalents stood at RMB 1.444 billion, while short-term borrowings had reached RMB 1.854 billion, creating a short-term debt repayment gap of over RMB 400 million. Additionally, the company had long-term borrowings of RMB 328 million and lease liabilities of RMB 68.204 million, bringing total interest-bearing debt to over RMB 2.25 billion. For PATEO, which has yet to achieve stable profitability and already carries a high debt load, this RMB 1.4 billion cash acquisition will further intensify financial pressure. Combined with potential future equity purchase expenses, the company will face greater cash flow strain, rising debt repayment risk, and squeeze on its core business operations.

On the funding side, the transaction is a full cash payment, with the agreement stipulating a 30% advance payment (not exceeding RMB 420 million) within 30 days of signing, and the remaining 70% (not exceeding RMB 980 million) within 60 days after equity transfer. To support this acquisition, PATEO previously raised HKD 382 million through a Hong Kong placement, and has reserved acquisition funds through bank credit lines and strategic capital support. However, such funds are mostly short-term financing or special credit lines that require repayment of principal and interest, driving up financial costs. As of the end of 2025, the company had RMB 2.182 billion in bank borrowings. Combined with this RMB 1.4 billion acquisition expenditure, the company's debt-to-asset ratio will surge, cash reserves will be significantly depleted, and funds originally earmarked for R&D and market expansion in its core intelligent cockpit business will be diverted, potentially disrupting the pace of core business iteration and market expansion, creating a passive situation where "sideline investments hinder core business development."

Unprofitable target, 7x premium questioned

Mingyi Technology is an integrated circuit design company operating under the Fabless model, with core products covering high-speed optoelectronic chips, RF front-end chips, high-performance analog chips, and modules. Its true scarcity lies in being one of the very few domestic companies capable of mass-producing single-channel 100G TIA (transimpedance amplifier) electrical chips, with over 95% of core technology self-developed. Its products have entered the supply chains of leading domestic communication equipment manufacturers and mainstream chip platform vendors, applied in AI server 400G/800G optical module scenarios. However, there remains a gap between technological scarcity and commercial monetization. Financial data shows Mingyi Technology's revenue for 2024 and 2025 was RMB 262 million and RMB 305 million respectively, with pre-tax net losses of RMB 63.06 million and RMB 9.07 million. Although losses have narrowed significantly and are approaching breakeven, the fact remains that it has yet to achieve profitability.

Based on the acquisition of 70% equity for no more than RMB 1.4 billion, Mingyi Technology's overall valuation is approximately RMB 2 billion. Compared to net assets of about RMB 242 million as of the end of 2025, the premium exceeds 7 times, placing it at an extremely high level among domestic automotive chip industry M&A cases. For a chip design company that is not yet profitable and has revenue of only around RMB 300 million, the rationality of such a high premium is widely questioned by the market. To hedge against the high premium risk, the transaction includes clear performance commitment clauses. The transferors have committed that Mingyi Technology will achieve tiered growth from 2026 to 2028, with annual revenue of no less than RMB 480 million, RMB 620 million, and RMB 800 million respectively, and pre-tax profits of no less than RMB 45 million, RMB 90 million, and RMB 120 million respectively. Based on 2025 revenue of RMB 305 million and a pre-tax loss of RMB 9.07 million, the target's revenue compound annual growth rate over the next three years must reach 38%, and it must achieve a leap from losses to RMB 45 million in profit within one year—an extremely demanding growth trajectory.

From an industry perspective, the performance growth of Fabless chip design companies is constrained by multiple factors including technological iteration, supply chain stability, and customer development, making it highly volatile. The high-speed optoelectronic chip sector is intensely competitive, with international giants like Marvell and Broadcom dominating the mainstream market, while domestic substitution competition continues to intensify. Mingyi Technology's technological advantage window for 100G TIA chips is limited. If industry technology iteration accelerates, competitors cut prices to capture market share, or downstream data center and automotive market demand falls short of expectations, the target may fail to meet its performance commitments. Should the performance commitments fail, PATEO would not only face reduced transaction consideration and disappointing investment returns, but the RMB 1.4 billion acquisition assets would also carry significant impairment risk, further burdening its already fragile profitability. Even if the target successfully meets its commitments, PATEO must fulfill its obligation to acquire the remaining 30% equity, with cumulative investment costs exceeding RMB 2 billion requiring the target to sustain long-term high growth and profitability to cover them—an extended payback period with extremely high uncertainty.

Can the synergy story hold up?

PATEO frames this cross-industry acquisition as a key piece of its "software-hardware-chip-cloud" strategy, claiming it will achieve technical synergy and supply chain extension between intelligent cockpits and automotive optical chips. However, from an operational perspective, the business synergy between the two parties is fraught with difficulty, with clear barriers to cross-industry integration, and significant uncertainty remains over whether the strategic synergy vision can be realized.

On one hand, technology migration and automotive-grade certification are extremely challenging. Mingyi Technology's existing core products focus on data center high-speed optical chips, with product development, performance standards, and application scenarios all tailored to computing data center environments—fundamentally different from the technical requirements and certification systems for automotive chips. Automotive chips demand far higher stability, safety, high-temperature resistance, and interference immunity than consumer or data center-grade chips, and must pass stringent automotive-grade certification, which typically takes 2-3 years. Although Mingyi Technology has initiated preliminary research on automotive optical communication chips, it remains at the technology reserve stage with no mature products, no customer orders, and no mass production capability. Transferring existing data center chip technology to automotive scenarios would require massive R&D investment and overcoming multiple technical hurdles including automotive-grade adaptation and scenario optimization, making it difficult to generate effective production capacity and revenue in the short term, and unable to quickly empower PATEO's core intelligent cockpit business.

On the other hand, the customer systems and business scenarios of the two parties are disconnected, limiting synergy potential. PATEO's core customers are mainstream domestic automakers, with its core business revolving around intelligent cockpit solutions; Mingyi Technology's customers are concentrated in communication equipment and data center sectors. The customer resources and sales channels of the two are completely independent with no crossover synergy space. In the short term, this acquisition cannot help PATEO expand automaker customers, enhance cockpit product competitiveness, or help Mingyi Technology enter the automotive supply chain—the short-term value of industrial synergy is nearly unattainable.

From the perspective of industry development pace, automotive optical communication is still in its infancy, with no clear timeline for overall commercialization. Current intelligent vehicles primarily rely on traditional copper cable transmission, and the hardware adaptation, cost control, and ecosystem support for automotive optical communication are all immature, with large-scale industry deployment requiring at least 3-5 years. PATEO's heavy investment at this stage represents a bet on a nascent track ahead of its time, potentially facing risks of "lagging technology deployment and sustained capital occupation," with long-term investment unlikely to quickly translate into performance gains.

From the capital market perspective, this high-premium cross-industry acquisition has already sparked market divergence. Previously, PATEO's share price appreciation was primarily driven by high-growth expectations in its intelligent cockpit core business. The cross-industry chip expansion has disrupted the original business growth logic, and combined with the high-valuation, high-risk nature of the transaction, market skepticism over the company's capital operations is intensifying. If industrial synergy falls short of expectations, performance commitments fail, or asset impairments occur, the company's share price is likely to face a deep correction, with significantly increased market capitalization management pressure.
