Chongqing Iron & Steel Company Limited will hold its 2025 Annual General Meeting at 14:00 on 26 June 2026 at the Chongqing Iron & Steel Conference Center, Changshou District, Chongqing. Shareholders recorded at the close of business on 23 June 2026 are eligible to attend; the H-share register will be closed from 23 June to 26 June 2026, with share transfer cut-off set for 16:30 on 22 June 2026.

Key ordinary resolutions to be tabled include: • Approval of the 2025 financial accounts, annual report, profit-distribution plan and 2026 operating plan. • Approval of the Board and senior management remuneration execution report for 2025. • Re-appointment of Deloitte Touche Tohmatsu Certified Public Accountants LLP as auditor for both financial statements and internal control for 2026. The audit fee ceiling remains at RMB 2.41 million, matching 2025 levels, of which RMB 1.90 million relates to financial auditing and RMB 0.51 million to internal-control work. The Board will determine the exact 2026 fee within this cap, subject to shareholder authorisation. • Adoption of “Regulations for the Management of Remuneration of the Directors and Senior Management” and of the 2026 remuneration plans.

Highlights of the proposed remuneration framework: • Independent directors will receive a fixed pre-tax allowance of RMB 0.18 million per year; external directors employed by the controlling shareholder or affiliates will not receive remuneration from the company. • Internal directors are compensated according to their executive positions, with no additional board allowance. • Senior-management pay comprises base salary, performance-based pay (targeted at ≥50 % of total annual remuneration) and potential special incentives; performance bonuses are largely settled after annual-report disclosure, with any advance payment capped at 30 %. • Claw-back clauses allow the company to reduce, withhold or recover variable pay in cases of financial restatements, compliance breaches or losses attributed to executives.

Proxy forms for H-shareholders must reach Computershare Hong Kong Investor Services by 14:00 on 25 June 2026. Directors as of 27 May 2026 include Executive Directors Wang Huxiang, Kuang Yunlong and Chen Yingming; three Non-executive Directors; and three Independent Non-executive Directors.
