PRADA S.p.A. (1913) Announces EUR 66.59 Million Acquisition of Milan Property

PRADA S.p.A. (1913) entered into an agreement on November 18, 2025, for the purchase of a property in Milan, Italy, at a total consideration of EUR 66,587,950. The vendor, Ludo Due S.r.l., is ultimately beneficially owned and controlled by an Executive Director and substantial shareholder of PRADA, which renders the transaction a connected one under Chapter 14A of the Listing Rules.

The property covers approximately 14,800 square meters and consists of two adjacent sections. Section 1 already comprises a complex of 11 buildings used for offices, workshops, and laboratories; Section 2 is a developable area, currently unused, with potential for future real estate projects. The acquisition was funded through PRADA’s internal resources and is aimed at consolidating the company’s operational functions into a potential new corporate headquarters.

PRADA has leased part of the property since 2013, and the board deems the transaction an important move to secure a strategic location in an area undergoing extensive redevelopment. The highest applicable percentage ratio for the acquisition falls between 0.1% and 5%, making it subject only to reporting and announcement requirements, without needing independent shareholders’ approval. Two directors with material interest in the transaction abstained from voting. The board believes the consideration and terms are fair, reasonable, and in the interests of the company and its shareholders as a whole.
