CGN Power: Two Independent Directors Resign, Triggering Board Re-composition Process

CGN Power Co., Ltd. announced that Independent Non-Executive Directors Li Fuyou and Xu Hua submitted written resignations on 29 June 2026. Li is stepping down upon reaching the six-year service limit stipulated by the China Securities Regulatory Commission, while Xu cited personal career plans.

The departures will temporarily reduce the proportion of independent non-executive directors (INEDs) on CGN Power’s board to below the one-third regulatory threshold. Consequently, both directors will remain in their roles—and continue serving on their respective board committees—until successors are elected at an upcoming extraordinary general meeting.

Li leaves positions as: • Independent Non-Executive Director • Chairman, Nomination Committee • Member, Audit and Risk Management Committee • Member, Nuclear Safety Committee

Xu resigns from roles as: • Independent Non-Executive Director • Chairman, Audit and Risk Management Committee • Member, Remuneration Committee • Member, Nomination Committee

The company confirmed there are no disagreements between the resigning directors and the board, no outstanding public undertakings, and neither holds any CGN Power shares. The board expressed gratitude for their contributions and will initiate the director election process in line with the Articles of Association and regulatory requirements.
