Truly International cancels 11.37 million shares, trims outstanding stock to 2.95 billion

Truly International Holdings Ltd. has continued its share-buyback drive, cancelling 11.37 million shares on 15 June 2026 that had been repurchased between 4 and 28 May. Following the cancellation, the company’s issued share capital fell by 0.38% to 2.95 billion ordinary shares.

In addition to the cancelled stock, a further 9.42 million shares—acquired in the market between 1 and 15 June at prices ranging from HK$0.95 to HK$0.99—remain held for cancellation. Together, the cancelled and pending-cancellation tranches amount to 20.79 million shares, equivalent to approximately 0.70% of the company’s pre-cancellation share base.

Repurchase activity during the latest reporting period included a 15 June on-exchange buyback of 1.00 million shares at HK$0.95 each, costing HK$0.95 million. The earlier May purchases that were cancelled on 15 June had a volume-weighted average cost of HK$1.014 per share, implying a cash outlay of about HK$11.53 million.

Under the general mandate approved on 12 May 2026, Truly International is authorised to repurchase up to 297.13 million shares. To date, 17.43 million shares—representing 0.59% of the share count at the time the mandate was granted—have been bought back on the Hong Kong Stock Exchange.

In accordance with Hong Kong Stock Exchange rules, the company is subject to a moratorium on issuing new shares or disposing of treasury shares until 15 July 2026.
