Prosperity Investment Holdings Limited (Stock Code: 00310) announced that, with effect from November 27, 2025, its company secretary and authorised representative, Mr. Wan Tat Kay, Dominic Savio, resigned from his positions, and there is no disagreement between Mr. Wan and the Board. Following this change, Mr. Wan also ceased to be an authorised representative of the company pursuant to Rule 3.05 of the Listing Rules.

Mr. Lam Chee Sum Eddie has been appointed as the new company secretary and authorised representative. Mr. Lam holds a Bachelor of Arts in Business Economics from the University of California, Los Angeles, and is a Certified Public Accountant with membership in the California Board of Accountancy, as well as a CFA charter holder with over 20 years’ experience in accounting, auditing, and company secretarial services.

The company further announced the appointment of Ms. Katsaya Wiriyachart as an independent non-executive director, a member of the audit committee, and a member of the nomination committee. She previously served as an executive director at Trendzon Holdings Group Limited (stock code: 1865) until November 2024. Ms. Wiriyachart graduated from Chiang Mai Rajabhat University in 2018 and has extensive experience in market development, supplier relationship management, and project management. She will serve for a term of one year, subject to retirement by rotation and re-election under the company’s Bye-laws.

Additionally, Mr. Ip Kwok Kwong has been appointed as a member of the nomination committee. According to the announcement, the company remains in compliance with the Listing Rules, including the gender diversity requirement under Rule 13.92 and the Nomination Committee composition requirements under Rules 3.27A and 3.27C.

As of the date of the announcement, the board comprises one executive director (Mr. Tang Tsz Tung), one non-executive director (Mr. Lau Tom Ko Yuen), and three independent non-executive directors (Mr. Feng Nien Shu, Mr. Lui Siu Tsuen, Richard, and Mr. Ip Kwok Kwong), along with the newly appointed independent non-executive director, Ms. Wiriyachart.
