Meitu, Inc. has issued a notice and proxy form for its Annual General Meeting (AGM) to be held on 5 June 2026 at 11:30 a.m. (Hong Kong time) at Studio 1, Level 7, W Hong Kong, 1 Austin Road West, Kowloon Station, Kowloon.
Key agenda items to be put to shareholder vote include:
1. Financial Statements and Reports • Adoption of the audited consolidated financial statements, directors’ report and independent auditor’s report for the year ended 31 December 2025.
2. Board Composition • Re-election of Mr Chen Jiarong and Mr Hong Yupeng as directors. • Authorisation for the board to determine directors’ remuneration.
3. Auditor Re-appointment • Re-appointment of PricewaterhouseCoopers as external auditor and authorisation for the board to fix its remuneration.
4. Capital Mandates • General mandate permitting directors to allot, issue and deal with new shares up to 20% of the Company’s issued share capital (excluding treasury shares) on the date of the resolution. • Authorisation for the Company to buy back shares not exceeding 10% of the issued share capital (excluding treasury shares). • Extension of the issue mandate by an amount equivalent to shares bought back under the above repurchase mandate.
5. Dividend Proposal • Declaration and payment of a final dividend of HK$0.05 per ordinary share, payable in cash out of the share premium account.
6. Amendments to Articles of Association • Approval of amendments relating to treasury shares, dividend arrangements, paperless communications, universal shareholder meetings (USM), and other miscellaneous updates. • Adoption of the fourth amended and restated articles of association, replacing the existing third amended and restated version, conditional on the approval of the preceding amendment resolutions.
Shareholders of record may attend the AGM in person or appoint proxies. Proxy forms must be submitted to Computershare Hong Kong Investor Services Limited by 11:30 a.m. on 3 June 2026, 48 hours before the meeting commences.
