Xiaokuo Technology's IPO: Heavy Marketing Spend, Product Concentration, and Financial Pressures

Xiaokuo Technology, the parent company of the popular oral care brand "Shen Ban," has officially submitted its listing application to the Hong Kong Stock Exchange, aiming for a main board listing with CMB International as its sole sponsor.

The company has achieved a rapid ascent to become the third-largest player in its sector, with impressive revenue growth. According to its prospectus, revenue surged from RMB 1.096 billion in 2023 to RMB 2.499 billion in 2025, representing a year-on-year increase of 82.5% for 2025, with adjusted net profit reaching RMB 155 million.

Key Challenges for the IPO

Behind these strong figures, however, lie significant challenges. These include heavy reliance on a single product category, a business model skewed towards high marketing and low research & development, substantial financial pressure from a RMB 580 million valuation adjustment mechanism, a large pre-IPO dividend payout, and several corporate governance concerns that pose serious questions for its listing journey.

High Marketing Costs and Concentrated Business

From 2023 to 2025, the company's sales and distribution expenses reached RMB 685 million, RMB 835 million, and RMB 1.534 billion, respectively. These figures consistently accounted for over 60% of its revenue during the period, with the three-year cumulative total exceeding RMB 3 billion. As platform traffic costs continue to rise, this "growth-through-traffic" model faces diminishing returns, raising investor concerns about the sustainability of such high customer acquisition costs.

The company's business is heavily concentrated in the professional and beauty oral care segment. Its contribution to total revenue increased from 86.8% in 2023 to 92.9% in 2025. While Xiaokuo launched a new personal care brand, "Little Arrow," in 2025, it generated only about RMB 8 million in revenue that year, accounting for a mere 0.3% of total sales and failing to establish a meaningful second growth engine.

This reliance on a single category significantly weakens the company's resilience to risks. Any downturn in the oral care market due to policy changes, intensified competition, shifting consumer demand, or economic cycles could severely impact overall revenue and profit, with no secondary business to provide a buffer.

Furthermore, the company primarily relies on OEMs for production, with limited in-house manufacturing capacity. While this asset-light model allows capital to be focused on branding and channel expansion, it introduces risks related to supply chain control and product quality consistency.

Financial Pressures and Pre-IPO Actions

Adding to the challenges is a significant financial overhang. The company has entered into a valuation adjustment mechanism agreement with investors, stipulating a qualified listing within 60 months of the investment date. Failure to do so grants investors the right to demand share repurchase at an 8% annual simple interest rate. As of the end of 2025, the total confirmed redemption liability amounted to RMB 582 million.

With cash and cash equivalents on its books at only RMB 223 million at the same period-end, the company lacks sufficient funds to cover this potential massive obligation. This situation makes the IPO appear imperative for survival rather than a strategic choice, raising concerns about the autonomy of the listing decision under external capital pressure.

Concurrently, the company declared and paid a dividend of RMB 130 million in 2025, following two years of no payouts. This move is particularly scrutinized given that the company's total combined profit for the 2023-2025 reporting period was only RMB 57.6 million, and it recorded a net loss in 2025. The pre-IPO dividend not only exhausted all reported profits but also drew significantly from historical reserves. Founder Yin Kuo, who directly and indirectly holds approximately 38.98% of the shares, personally received about RMB 50 million from this payout.

Market observers have pointed out the apparent contradiction in executing such a substantial "cash-out" dividend just before an IPO, especially while the company faces tight cash flow and an urgent need for financing. This action raises questions about the underlying motives and its alignment with the company's stated need for capital through a public listing.
