On 23 September 2026, Sino-Ocean Group Holding Limited disclosed a modest expansion of its ordinary share capital through the conversion of outstanding mandatory convertible bonds.
The company issued a total of 296,089 new ordinary shares following the conversion of two tranches of zero-coupon mandatory convertible bonds originally issued on 27 March 2025: • 205,926 shares were allotted from the Class B bonds at an issue price of HKD 5.74 per share, representing approximately 0.0016 % of the shares outstanding prior to the transaction. • 90,163 shares were issued from the Class C bonds at an issue price of HKD 17.26 per share, adding a further 0.0007 % to the capital base.
After the conversions, the company’s total issued share count rose from 12,668.32 million to 12,668.62 million shares, an increase of 0.0023 %. No treasury shares were created or cancelled, and the group reported no share repurchases or on-market sales of treasury shares during the period.
The board confirmed that the share issuances were duly authorised and executed in compliance with Hong Kong Stock Exchange listing rules and all relevant regulatory requirements.
