Graphex Group Limited (Graphex Group) has called an Extraordinary General Meeting (EGM) for 2:30 p.m. on 4 September 2026 at 11/F, COFCO Tower, 262 Gloucester Road, Causeway Bay, Hong Kong.

Key agenda item • Special Resolution: Shareholders will vote on relocating the company’s place of incorporation from the Cayman Islands to Hong Kong under the Companies Ordinance (Cap. 622). The move is contingent on securing all required governmental and regulatory consents and the issuance of a certificate of re-domiciliation by the Hong Kong Companies Registry.

• Conditional Adoption of New Articles: Upon completion of the redomiciliation, a new set of articles of association—presented to the EGM as “Document A”—will replace the current memorandum and articles of association.

• Board Authorisation: Directors will be empowered to execute all documents and filings necessary to implement the redomiciliation and adoption of the new articles in both the Cayman Islands and Hong Kong.

Share registration and voting arrangements • Share register closure: 1–4 September 2026 (both days inclusive). Transfers must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 31 August 2026 to qualify for voting. • Proxies: Eligible shareholders may appoint one or more proxies; forms must be deposited at Tricor Investor Services no later than 48 hours before the EGM. • Voting method: All resolutions will be decided by poll as required under Listing Rule 13.39(4).

Contingency for severe weather If an extreme condition, black rainstorm warning, or tropical cyclone signal No. 8 or above is in force at 8:00 a.m. on the meeting date, the EGM will be postponed; alternative arrangements will be posted on the corporate website.
