AliHealth Plans RMB10 B Share-Premium Cut to Fund RMB3.14 B Dividends; Seeks Fresh Issue & Buy-back Mandates

Alibaba Health Information Technology Limited (“AliHealth”) has released its 2026 annual general meeting (AGM) circular detailing a package of capital-management and governance proposals to be put to shareholders on 7 August 2026 in Hangzhou.

Dividend and Capital Return • A final cash dividend of RMB 5.95 cents per share (RMB 960 million) and a special cash dividend of RMB 13.52 cents per share (RMB 2.18 billion) are proposed for FY 2026. • Both payouts hinge on a RMB 10.00 billion reduction of the company’s RMB 51.69 billion share-premium account. The credit will be transferred to the contributed-surplus account, enabling distribution and clearing the RMB 1.18 billion accumulated loss recorded at 31 March 2026. • Record date: 13 August 2026; expected payment date: 2 September 2026.

General Mandates • Issuance: Directors seek authority to allot up to 20% of issued shares (maximum 3.24 billion shares) and to re-issue any treasury shares. • Repurchase: A 10% buy-back mandate (up to 1.62 billion shares) is requested, with flexibility to cancel or hold repurchased stock as treasury shares under HKEX’s revised rules (effective since June 2024). • The board states it has no immediate plans to issue or repurchase shares.

Governance & Bye-Law Updates • Proposed bye-law amendments will: – Permit dividends and other distributions directly out of contributed surplus; – Incorporate Hong Kong’s new Uncertificated Securities Market (USM) regime and electronic communication provisions; – Update miscellaneous administrative provisions. • Directors up for re-election: Executive Director & CFO Ms Sheng Mengyue; Independent Non-executive Directors Ms Huang Yi Fei, Dr Shao Rong and Ms Wu May Yihong. • Ernst & Young is nominated for re-appointment as auditor for FY 2027 with an estimated fee of RMB 4.20–5.00 million.

Shareholding Snapshot • Issued share capital: 16.18 billion shares. • Alibaba Group entities collectively hold 63.50% (10.27 billion shares). Full exercise of the buy-back mandate could raise their interest to 70.56% without triggering a mandatory general offer under Hong Kong’s Takeovers Code. • Share award scheme trustee holds 24.36 million shares (0.15%), which will not be entitled to dividends while held as treasury shares.

Meeting Logistics • AGM: 11:00 a.m., 7 August 2026, Qingfeng Pavilion, FlyZoo Hotel, Hangzhou. • Shareholders must lodge transfers by 4:30 p.m., 3 August 2026, to qualify for attendance and voting.
