Regal Partners Holdings Limited (Regal Partners) has released its Monthly Return for Equity Issuers for the period ended 31 August 2026.

Authorised Share Capital • Authorised capital remained unchanged at 10.00 billion ordinary shares with a par value of USD 0.001, equal to USD 10.00 million.

Issued & Treasury Shares • Issued shares were steady at 3.86 billion; no new shares were issued, repurchased or cancelled during the month. • The company held zero treasury shares at both the beginning and end of August. • Regal Partners confirmed compliance with the Hong Kong Stock Exchange’s minimum public-float requirement of 25%.

Convertible Instruments • An HK$200.00 million convertible loan remains outstanding; HK$32.47 million was outstanding as at 31 August 2026. • Full conversion at the fixed price of HK$2.22 per share could result in the issuance of up to 14.62 million new shares, representing approximately 0.38% of the current share base. • No conversions occurred in August.

Equity Incentives & Other Instruments • The 10 December 2016 share-option scheme showed no outstanding options and no exercises or grants during the month. • No warrants, other convertibles or share-linked arrangements were active.

Regulatory Confirmation • The board affirmed that all listing-rule, legal and regulatory requirements were met, and that all funds due from prior issuances have been received.

With no equity movements in August, Regal Partners’ capital structure and share count remain unchanged, while ample authorised headroom offers future financing flexibility.
