China Vanke Co., Ltd. (Stock Code: 2202) announced the outcome of the first holders’ meeting of 2026 for its 2022 (fourth tranche) medium-term notes, referred to as 22 Vanke MTN004 (Bond Code: 102282715). The meeting, convened on 21 January 2026, was held offsite through an online platform.

According to the announcement, four proposals were reviewed during the session:

• Proposals 1 and 2 sought to adjust and extend the bond’s principal and interest payment arrangements, but both failed to secure the required threshold of more than 90% approval. • Proposal 3, also aiming to adjust payment arrangements, achieved unanimous support, meeting the requirement and thus taking effect. • Proposal 4, addressing a different extension and partial payment approach, did not pass.

Lawyers engaged by the issuer witnessed the meeting and confirmed its compliance with applicable regulations. China Vanke Co., Ltd. notes that it accepts these voting results and will continue to fulfill applicable disclosure obligations in accordance with self-regulatory rules, emphasizing protection of the interests of investors.
