Sky Blue 11 Company Limited announced that independent non-executive director (INED) Mr. Wong Xiang Hong resigned effective 27 May 2026 to focus on personal business commitments. His departure simultaneously removes him from the audit, remuneration and nomination committees.

Following the resignation, the Board now consists of four directors—two executive and two INEDs—leaving the company short of the minimum three INEDs required under HKEX Listing Rule 3.10(1). Each of the three key board committees has been reduced from three to two members, putting the audit committee in breach of Listing Rule 3.21, which mandates at least three members.

The Board is actively searching for a suitable candidate to restore compliance and will issue further announcements as developments occur. The company expressed appreciation for Mr. Wong’s service during his tenure.
