BBMG Plans Shelf Registration for Commercial Mortgage-Backed Securities Issuance

BBMG (02009) has announced its intention to apply for a shelf registration to issue commercial mortgage-backed securities (CMBS). The move aims to revitalize the company's existing assets, optimize its capital structure, broaden financing channels, and enhance asset operation efficiency. Specific details of the plan are as follows:

1. Issuance Scale: The company plans to use properties held by itself or its subsidiaries as underlying assets for the shelf issuance, with a total CMBS scale not exceeding RMB 5 billion (inclusive). The final issuance amount will be subject to regulatory approval. Potential underlying assets include, but are not limited to, Tengda Building and BBMG High-Tech Industrial Park.

2. Number of Tranches: The issuance will comprise no more than five tranches (inclusive).

3. Tenor: Each tranche will have a tenor of up to 18 years (inclusive), subject to final approval. Open periods will be set every three or five years, with adjustments to coupon rates and investor put options available.

4. Issuance Method: Following receipt of a no-objection letter for the CMBS product, the company will issue the securities in phases. Each tranche will be launched during the validity period of the letter, depending on the company’s funding needs and market conditions.

5. Interest Rate: The coupon rate for each tranche will be determined based on prevailing market conditions at the time of issuance, within the approved quota. The final rate will be set according to book-building results. Principal and interest repayment methods will be tailored to the company’s and the underlying properties’ specific circumstances.
