JS Global Lifestyle Company Limited (1691) has announced revisions to the annual caps under its existing Product Development Agreement with SharkNinja Europe and introduced a proposed annual cap for the Sourcing Services Agreement – Joyoung for the year ending December 31, 2026.

Under the amended Product Development Agreement, the existing 2026 annual cap of US$8.4 million will rise to US$11.41 million. This upward revision reflects expanded product support and anticipated higher costs arising from development for Asia-Pacific and other new markets. Historically, the transaction amount under the Product Development Agreement reached US$4.98 million for the first nine months of 2025, within the current annual cap of US$6.75 million for that year.

Separately, the proposed annual cap for the Sourcing Services Agreement – Joyoung amounts to US$25.63 million for 2026. SharkNinja Group will continue to source small household products, including cooking, food preparation, and floorcare products, from the Joyoung Group. As of September 30, 2025, the parties recorded a transaction amount of US$74.6 million, falling under the existing annual cap of US$110.0 million for 2025.

Both transactions constitute continuing connected transactions under Chapter 14A of the Listing Rules. Given that the highest applicable percentage ratios remain below 5%, the arrangements are subject to reporting and announcement requirements but exempt from independent shareholders’ approval. The updates are intended to facilitate ongoing cooperation and product development efforts in multiple markets while leveraging experience gained from the spin-off of SharkNinja.
