NUR HOLD-NEW (00254) announced on October 27, 2025, that its indirect wholly-owned subsidiary, Shenzhen Century Chuanglian Resource Technology Services Co., Ltd. (Century Chuanglian), entered into a non-legally binding memorandum of understanding with Mr. Han Zhi.

According to the memorandum, the group intends to acquire up to 25% equity in Shenzhen Wanmei Block Cultural Tourism Co., Ltd. (the target company) from Mr. Han Zhi through Century Chuanglian, with a maximum consideration of HK$42 million. The payment will be funded by the group's internal resources.

The target company primarily operates themed blocks and parks in sectors such as culture, sports, tourism, leisure, and entertainment. Currently, it is 70% owned by Mr. Han Zhi and 30% by Ms. Fan Xiaoling.

The target company operates a three-story integrated amusement facility in Futian District, Shenzhen, covering 7,300 square meters. The venue includes various sports and entertainment facilities such as an indoor ice rink, bowling alley, electronic gaming equipment, and cultural-recreational amenities.

Amid the recovery of consumer spending, the target company’s core business aligns with market demand for cultural entertainment, service consumption, and youth-oriented social activities. It also integrates upstream and downstream manufacturers and service providers to create a comprehensive entertainment and social hub, gaining strong market recognition and industry reputation.

The board believes that, despite the economic slowdown, the consumer market—particularly youth and family-oriented entertainment—will remain a stable sector, enabling the group to diversify its operations.
