On 23 July 2026, Cherish Sunshine International Limited signed a placing agreement with Gaoyu Securities to issue up to 118.50 million new shares at HK$0.209 each, targeting not fewer than six independent investors on a best-efforts basis.
The new shares equal 20.00% of the company’s existing 592.51 million shares and will enlarge total issued capital to 711.02 million shares, reducing the proportional stake of major shareholder Eastmount Global Limited from 38.70% to 32.25%. No placee is expected to become a substantial shareholder.
Pricing represents an 18.04% discount to the 23 July 2026 closing price of HK$0.255 and to the five-day average of the same level. After a 3% placing commission, net proceeds are estimated at HK$24.00 million, translating into a net price of HK$0.2025 per share.
Planned use of funds: • HK$10.00 million (41.7%) – staff payroll, pensions and compensation • HK$5.00 million (20.8%) – partial repayment of a 4.5% PRC bank loan maturing within six months • HK$5.00 million (20.8%) – audit, legal, financial advisory and listing maintenance fees • HK$4.00 million (16.7%) – general working capital, including utilities, insurance and administrative expenses
The placement will be executed under the general mandate approved on 2 September 2025; no shares have yet been issued under that mandate. Completion is expected no later than three business days after all conditions are met, with 15 August 2026 set as the long-stop date. Listing approval for the new shares is being sought from the Stock Exchange of Hong Kong.
Cherish Sunshine has not undertaken any equity fundraising in the past 12 months. Management views the transaction as an opportunity to broaden the shareholder base, improve share liquidity and reinforce the group’s capital position.
