WH GROUP (00288) announced that on September 4, 2025 (New York time), Smithfield disclosed the pricing of a secondary offering, whereby SFDS UK Holdings Limited (SFDS UK), a major shareholder of Smithfield and an indirect wholly-owned subsidiary of the company, sold 19,531,698 shares of Smithfield common stock to the public at $23.25 per share (the "Smithfield Secondary Offering"). Additionally, SFDS UK (the selling stockholder) has granted underwriters a 30-day option to purchase up to 2,929,754 additional shares of Smithfield common stock at the public offering price, less underwriting discounts and commissions. Smithfield will not sell any common shares in the offering and will not receive any proceeds from SFDS UK's sale of shares, including any additional shares purchased by underwriters upon exercise of the option. The offering is expected to close on September 8, 2025, subject to customary closing conditions. Morgan Stanley, BofA Securities, and Barclays are serving as joint lead book-running managers for the proposed offering. Goldman Sachs & Co. LLC, Citigroup, and BNP Paribas are serving as joint book-running managers.
