TUHU-W issues 0.16 million new shares after option exercise; 4.21 million shares repurchased pending cancellation

On 15 July 2026, TUHU Car Inc. (TUHU-W) filed a Next Day Disclosure Return with the Hong Kong Stock Exchange detailing a minor share issuance and the progress of its on-market buy-back programme under a weighted voting rights (WVR) structure.

The company allotted 159,762 Class A ordinary shares (approximately 0.16 million shares) following option exercises under the 2019 Share Incentive Plan at USD 0.00002 per share. This issuance increased the Class A share count by 0.0193%, lifting the total to 760.62 million. Including 67.92 million Class B shares, the company now has 828.54 million shares in issue.

TUHU-W has also been active in its authorised share-repurchase mandate approved on 5 June 2026. From 25 June to 15 July 2026, the company bought back 4.21 million Class A shares for cancellation at prices ranging between HKD 11.62 and HKD 13.26 per share. The repurchased amount represents 0.51% of the issued share capital at the date the mandate was granted; cancellation is still pending.

The latest daily purchase occurred on 15 July 2026, when 272,500 shares were acquired on-market at between HKD 13.15 and HKD 13.30, costing HKD 3.61 million.

Under the current mandate, TUHU-W is authorised to repurchase up to 82.77 million shares. Consistent with Listing Rules, new share issues are restricted until 14 August 2026, 30 days after the most recent buy-back.
