Biocytogen Pharmaceuticals (Beijing) Co., Ltd. convened its third Extraordinary General Meeting of 2026 on 16 September, combining an on-site session in Beijing’s Daxing Bio-Medicine Industry Park with an online platform. The meeting was duly held under the PRC Company Law and the firm’s Articles of Association.

A single ordinary resolution—approval of a change in the implementation method of a designated proceeds-funded project—was tabled. Of the 446.90 million issued shares (110.78 million H Shares and 336.12 million A Shares), holders of 297.85 million voting shares, or 66.6 %, were present in person or by proxy.

The resolution garnered overwhelming backing, with 297.82 million votes in favour (99.99 %), 23,218 votes against (0.01 %) and 8,034 abstentions (0.00 %). As a result, the proposal was duly passed.

The company held no treasury shares. Trustees of Biocytogen’s share-award scheme, holding 3.28 million unvested shares (0.73 % of issued capital), abstained from voting, consistent with policy. No shareholders were required to abstain under Hong Kong Listing Rules, and no parties had signalled an intention to oppose the resolution.

Tricor Investor Services, two shareholder representatives and Zhong Lun Law Firm oversaw vote tabulation and served as scrutineers. Zhong Lun affirmed that the meeting’s convening, procedures and results complied with all relevant PRC laws, regulatory requirements and the company’s Articles.

Chairman, CEO and Executive Director Dr. Shen Yuelei presided over the session, which was attended—either physically or via telecommunication—by the entire board and senior management team.
