Sands China Switches to Alternative Public Float Threshold After LVS Subsidiary Raises Stake

Sands China Ltd (“Sands China”) has elected to apply the Alternative Threshold for public float compliance under Hong Kong Stock Exchange Listing Rule 13.32B, following an on-market purchase of 1.62 million shares by Venetian Venture Development Intermediate II (VVDI (II)), an indirect wholly owned unit of controlling shareholder Las Vegas Sands Corp. (LVS).

The transaction, completed on 1 September 2026 after market close, increased VVDI (II)’s holding to 6.07 billion shares, or 75.01% of Sands China’s 8.09 billion issued shares. Consequently, the free float fell to 24.99%, slipping marginally below the Initial Prescribed Threshold of 25% required by Rule 13.32B(1).

Despite this decrease, the company’s public float remains within compliance parameters by meeting the Alternative Threshold: the shares held by public investors are valued at HK$30.64 billion—well above the HK$1.00 billion minimum—and represent 24.99% of issued share capital, comfortably exceeding the 10% requirement.

Effective immediately, Sands China will rely on the Alternative Threshold for future compliance, a move it states will provide greater flexibility in capital-management transactions. The board confirmed ongoing monitoring of the public float and adherence to the disclosure obligations set out in Rule 13.32D.

The company reiterated that shareholders and potential investors should exercise caution when trading its securities.
