Many Idea Cloud Holdings Limited on 29 June 2026 disclosed detailed resumption guidance received from the Hong Kong Stock Exchange and provided a quarterly progress update on efforts to lift the trading suspension imposed since 31 March 2026.

The exchange has set six conditions for reinstatement:

1. Commission an independent forensic review into whistle-blower allegations and evaluate any impact on operations and financials, with public disclosure of the findings and remedial actions. 2. Demonstrate the integrity and competence of management and of any parties exerting substantial influence over the Group. 3. Engage an external consultant to rectify and certify the adequacy of internal controls, including those governing financial reporting, notifiable or connected transactions and disclosure of inside information. 4. Publish all outstanding financial statements and resolve any audit modifications. 5. Prove ongoing compliance with Listing Rule 13.24 on sufficient operations and asset values. 6. Release all material information needed for investors to assess the Group’s position.

If trading is not resumed by 30 September 2027—a continuous suspension period of 18 months—the Listing Division will recommend delisting.

Implementation status

• Forensic investigation: CLA has been retained; a report is scheduled for completion by end-July 2026. • Management review: conclusions on management integrity will follow CLA’s findings. • Internal controls: the company is selecting an independent consultant to begin a comprehensive review; timelines will be announced when the appointment is finalised. • Financial reporting: shareholders will vote on replacing outgoing auditor BDO with CCTH at an upcoming EGM. Subject to approval and completion of additional procedures based on the forensic report, audited FY-2025 results are targeted for release within three months of CCTH’s engagement. • Operations: the Group’s integrated marketing services in mainland China continue “as usual” across fast-moving consumer goods, footwear, apparel and daily chemicals sectors.

Trading in Many Idea Cloud shares will remain halted until all resumption conditions are met and the exchange is satisfied. Shareholders and potential investors are advised to exercise caution when dealing in the company’s securities.
