Shenzhen Forms Syntron Information Co.,Ltd. (06700) is set to open its Hong Kong public offering from September 14 to September 17, 2026, with plans to globally distribute 58.9611 million H-shares. The Hong Kong public tranche accounts for 10% of the offering, subject to reallocation, while the international tranche covers the remaining 90%, also subject to reallocation. The maximum offer price is set at HK$16 per share, with each board lot comprising 100 shares, and trading on the Stock Exchange of Hong Kong is slated to commence at 9:00 a.m. on Tuesday, September 22, 2026.

The company is a well-established financial technology service provider rooted in the Greater Bay Area, offering software development, consulting, and system integration services to banks, regulatory bodies, and other financial institutions across Mainland China and Hong Kong, supporting their ongoing digital transformation initiatives. During the track record period, its financial performance has reflected a strategic focus on enhancing profitability. Revenue for 2023, 2024, 2025, and the three months ended March 31, 2025, and 2026, stood at RMB 730 million, RMB 740 million, RMB 631 million, RMB 132 million, and RMB 156 million, respectively. Corresponding annual or interim profits were RMB 47.4 million, RMB 67.4 million, RMB 74.3 million, RMB 12.9 million, and RMB 10.6 million for the same periods. Notably, revenue declined by 14.8% from RMB 740 million in 2024 to RMB 631 million in 2025.

The company has entered into cornerstone investment agreements with Mr. Zheng Zhiheng, Successful Lotus Limited, Thalassa Capital Dynamics SPC — Thalassa Horizon SP, and Yidu Kaiyuan Co., Ltd. Under these agreements, the cornerstone investors have agreed, subject to certain conditions, to subscribe for, or procure their designated entities to subscribe for, such number of offer shares at the offer price that can be purchased for an aggregate amount of approximately HK$120 million, rounded down to the nearest complete board lot of 100 H-shares. With the exception of Mr. Zheng Zhiheng and Thalassa Capital Dynamics SPC (acting for and on behalf of Thalassa Horizon SP), the investment amounts for all other cornerstone investors exclude brokerage commissions, SFC transaction levies, AFRC transaction levies, and Stock Exchange trading fees. Based on the maximum offer price of HK$16.00 per offer share, the total number of offer shares to be subscribed by cornerstone investors will amount to 7.4312 million H-shares, representing approximately 12.61% of the offer shares and 1.15% of the company's total issued share capital immediately following the global offering, assuming no other changes to its issued share capital between the last practicable date and the listing date.

After deducting underwriting fees, commissions, and estimated expenses payable by the company in connection with the global offering, and based on the maximum offer price of HK$16.0 per H-share, the company estimates net proceeds from the global offering of approximately HK$869 million. These net proceeds are intended to be allocated as follows: approximately 35% will be directed toward enhancing the company's research and development capabilities over the next three to five years, with a focus on developing key technologies and services. Approximately 25% will be used to strengthen delivery capabilities over the same period to support geographic expansion and customer growth strategies. Approximately 15% will go toward enhancing sales capabilities in Mainland China and global markets. A further 15% is earmarked for potential investments and acquisitions to reinforce technological capabilities, improve the business ecosystem, and support long-term growth strategies. The remaining 10% will be allocated for working capital and general corporate purposes.
