China New Consumption gains unanimous shareholder support for FY26 accounts, board reappointments and refreshed share mandates

China New Consumption Group Limited confirmed that all seven ordinary resolutions tabled at the 24 July 2026 Annual General Meeting were approved by 100.00% of the 251.39 million votes cast, with no votes recorded against any resolution.

Key outcomes 1. Financial statements: Shareholders adopted the audited results for the year ended 31 March 2026. 2. Auditor: RSM Hong Kong was re-appointed, with the board authorised to set its remuneration. 3. Board composition: • Ms. Liu Ching Man was re-elected as an executive director. • Mr. Ma Kwok Wah was re-elected as an independent non-executive director. 4. Directors’ fees: Authority was granted to the board to determine remuneration. 5. Capital management: • Issuance mandate – Directors may allot and issue new shares up to 20% of the issued share capital. • Repurchase mandate – The company may buy back shares up to 10% of the issued share capital. • Extension mandate – The issuance limit can be increased by the number of shares repurchased.

Voting mechanics • Shares in issue as of the meeting date: 959.99 million. • No shareholders were required to abstain, and none indicated an intention to vote against any resolution. • Tricor Investor Services Limited acted as scrutineer.

The meeting was chaired by executive director Ms. Liu Ching Man, with all independent non-executive directors attending either in person or electronically.
