Xinhua Winshare Publishing and Media Co., Ltd. (XINHUA WINSHARE) has issued a supplemental form of proxy for its 2025 Annual General Meeting, scheduled for 9:30 a.m. on Wednesday, 27 May 2026, at Xinhua Star Tower A, No. 238 Sanse Road, Jinjiang District, Chengdu, Sichuan, China.

The supplemental proxy applies to H-shareholders and adds one ordinary resolution: consideration and approval of the “Director Remuneration Management System of the Company.” Shareholders may vote FOR, AGAINST or ABSTAIN on this item, and unmarked proxies will be voted at the proxy’s discretion.

Completed forms, together with any required powers of attorney, must reach the Company’s Hong Kong H-share registrar, Computershare Hong Kong Investor Services Limited (17M Floor, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong) no later than 9:30 a.m. on Tuesday, 26 May 2026, or at least 24 hours before any adjourned session. Joint holders may vote in person or by proxy, with priority given to the first-named shareholder on the register if multiple joint holders are present.

Shareholders may appoint the meeting chairman or another individual as proxy, with the option to assign multiple proxies, who may exercise voting rights only via poll. Any alterations to the form must be initialled by the signatory to remain valid.
