SINOPHARM (01099) announced that due to work arrangements, Mr. Zhao Bingxiang has resigned from his positions as Non-Executive Director, Chairman of the Board, Chairman of the Nomination Committee, Chairman of the Strategy and Investment Committee, member of the Legal Compliance and Environmental, Social, and Governance (ESG) Committee, and authorized representative of the company, effective from the date his successor is appointed at the shareholders' meeting. Ms. Feng Rongli has also resigned as Non-Executive Director and member of the Remuneration and Nomination Committees, effective upon the appointment of her successor at the shareholders' meeting.

On the same day, the Board resolved to propose the appointment of Mr. Jin Bin and Ms. Li Ying as Non-Executive Directors. The Board further announced the election of Mr. Jin as Chairman and authorized representative, subject to shareholder approval of his appointment as Non-Executive Director at the shareholders' meeting. Additionally, Mr. Jin was elected as Chairman of the Nomination Committee, Chairman of the Strategy and Investment Committee, and member of the Legal Compliance and ESG Committee, pending shareholder approval of his Non-Executive Director appointment.
